• Use the services for any purpose that is fraudulent, deceptive, or harmful to Nurol or others
• Collect or harvest any information from the services, including email addresses or other contact information

Nurol reserves the right to investigate and take appropriate legal action against anyone who, in our sole discretion, violates this provision.

3. User Responsibilities

As a user of Nurol services, you are responsible for:

• Maintaining the confidentiality of your account credentials and restricting access to your account
• All activities that occur under your account, whether or not you have authorized such activities
• Ensuring that your use of the services complies with all applicable laws and regulations
• Obtaining and maintaining all equipment and services needed for access to and use of the services
• Properly configuring your systems, software, and equipment for use with the services
• Backing up your data and content used in connection with the services

You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

4. Intellectual Property Rights

Nurol Intellectual Property

The services and all content, features, and functionality, including but not limited to all information, software, text, displays, images, video, audio, design, selection, arrangement, and "look and feel," are owned by Nurol, its licensors, or other providers and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

License to Use

Subject to these Terms, Nurol grants you a limited, non-exclusive, non-transferable, revocable license to access and use the services for your internal business purposes. This license does not include the right to:

• Modify, reproduce, distribute, create derivative works or adaptations of, publicly display, or in any way exploit the services in whole or in part except as expressly authorized by Nurol
• Use any data mining, robots, or similar data gathering or extraction methods
• Remove any copyright, trademark, or other proprietary notices

User Content

You retain all rights to any content you submit, post, or display on or through the services. By providing content to Nurol, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, and distribute such content in connection with providing the services.

5. Disclaimers of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED.

WITHOUT LIMITING THE FOREGOING, NUROL EXPLICITLY DISCLAIMS ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUIET ENJOYMENT, OR NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

NUROL MAKES NO WARRANTY THAT THE SERVICES WILL MEET YOUR REQUIREMENTS OR BE AVAILABLE ON AN UNINTERRUPTED, SECURE, OR ERROR-FREE BASIS. NUROL MAKES NO WARRANTY REGARDING THE QUALITY, ACCURACY, TIMELINESS, TRUTHFULNESS, COMPLETENESS, OR RELIABILITY OF ANY INFORMATION OR CONTENT OBTAINED THROUGH THE SERVICES.

NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM NUROL OR THROUGH THE SERVICES, WILL CREATE ANY WARRANTY NOT EXPRESSLY MADE HEREIN.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NUROL AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, THAT RESULT FROM THE USE OF, OR INABILITY TO USE, THE SERVICES.

UNDER NO CIRCUMSTANCES WILL NUROL BE RESPONSIBLE FOR ANY DAMAGE, LOSS, OR INJURY RESULTING FROM HACKING, TAMPERING, OR OTHER UNAUTHORIZED ACCESS OR USE OF THE SERVICES OR YOUR ACCOUNT OR THE INFORMATION CONTAINED THEREIN.

IN NO EVENT SHALL NUROL'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICES EXCEED THE AMOUNTS PAID BY YOU TO NUROL FOR USE OF THE SERVICES DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

THE LIMITATIONS OF DAMAGES SET FORTH ABOVE ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN NUROL AND YOU.

7. Indemnification

You agree to defend, indemnify, and hold harmless Nurol and its officers, directors, employees, agents, affiliates, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the services.

8. Governing Law

These Terms and your use of the services shall be governed by and construed in accordance with the laws of the State of California, without giving effect to any choice or conflict of law provision or rule.

9. Dispute Resolution

Mandatory Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms or the services shall be finally settled by binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules.

The arbitration shall be conducted by a single arbitrator, and the arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class Action Waiver

YOU AND NUROL AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

Exceptions

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief to protect its intellectual property rights or confidential information in any court of competent jurisdiction.

10. Termination

Nurol may terminate or suspend your access to all or part of the services, without notice, for any conduct that Nurol, in its sole discretion, believes is in violation of these Terms or is harmful to the interests of another user, a third party, or Nurol.

Upon termination, your right to use the services will immediately cease, and all provisions of these Terms that by their nature should survive termination shall survive, including without limitation ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

11. Miscellaneous

Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Nurol regarding the services and supersede all prior agreements and understandings.

Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and Nurol's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law.

Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without Nurol's prior written consent. Nurol may freely assign or transfer these Terms without restriction.
